TERMS AND CONDITIONS

Scent.to Marketplace

Version 1.1 [Date]

1. INTRODUCTION AND SCOPE

1.1. These Terms and Conditions (hereinafter – the "Terms") govern access to and use of the online marketplace platform operated under the name Scent.to (hereinafter – the "Platform").

1.2. The Platform is operated by SIA "SVZ Ventures and Services", a company incorporated under the laws of the Republic of Latvia, registration No. 40203722530, having its registered address at Vecmīlgrāvja 1. līnija 37–45, Rīga, LV-1015 (hereinafter – "Scent.to", "we", "us" or "our").

1.3. The Platform enables users to list, discover and purchase pre-owned fragrance products from other users. Scent.to provides the technical infrastructure, logistics coordination, verification services and related support necessary for marketplace transactions to take place. Scent.to does not itself sell fragrance products.

1.4. These Terms apply to all visitors, registered users, buyers and sellers who access or use the Platform (hereinafter – "Users"). By accessing the Platform, creating an account, listing a product, placing an order or otherwise using the Platform, Users confirm that they have read, understood and agree to be bound by these Terms and by any policies incorporated by reference herein.

1.5. In addition to these Terms, the use of the Platform is governed by additional policies published on the Platform from time to time (hereinafter – the "Platform Policies"), including but not limited to:

Platform Policies form an integral part of these Terms and are binding upon Users. In the event of conflict, these Terms shall prevail unless a Platform Policy expressly states otherwise. New policies may be added and existing policies may be amended from time to time in accordance with clause 16.1.

1.6. Users who do not agree with these Terms must refrain from using the Platform.

2. ROLE OF THE PLATFORM AND LEGAL RELATIONSHIPS

2.1. The Platform operates as an online marketplace designed to facilitate Transactions between users who wish to sell and purchase pre-owned fragrance products. Scent.to provides the infrastructure and Services that enable such Transactions to take place.

2.2. Any contract for the sale and purchase of a product is concluded directly between the Seller and the Buyer. Scent.to is not a party to such contract.

2.3. Scent.to provides Services intended to support the execution of Transactions, including payment flow facilitation through the PSP, logistics coordination, Verification and customer support. The provision of such Services does not make Scent.to a party to the underlying sale contract or affect the allocation of rights and obligations between Buyers and Sellers.

2.4. Where products are routed through facilities operated by or on behalf of Scent.to for logistical or verification purposes, such handling constitutes a technical and logistical operation carried out on behalf of the Seller. It does not constitute the acquisition of legal possession, ownership or control over the products beyond what is reasonably necessary for the performance of the Services.

2.5. Sellers remain responsible for the products they list and sell, including compliance with applicable laws, product safety requirements, intellectual property rights and the accuracy of their Listings. The detailed obligations of Sellers are set out in Section 4 of these Terms and in the Seller Agreement.

2.6. Nothing in these Terms creates a partnership, agency, employment or fiduciary relationship between Scent.to and any User.

3. ELIGIBILITY AND ACCOUNTS

3.1. The Platform may be used only by individuals and legal entities that have the legal capacity to enter into binding contracts under applicable law.

3.2. Sellers must be at least eighteen (18) years of age and must have the legal capacity and right to sell the products they list. Persons under eighteen (18) years of age may not register as Sellers.

3.3. Buyers must be at least eighteen (18) years of age. A person under eighteen (18) years of age may use the Platform as a Buyer only under the supervision and with the prior consent of a parent or legal guardian, who must:

(a) accept these Terms on behalf of the minor;

(b) take full responsibility for the minor's use of the Platform and any Transactions concluded through it;

(c) ensure compliance with these Terms and applicable law.

By allowing a minor to use the Platform, the parent or legal guardian confirms that they have read and accepted these Terms on the minor's behalf and assume responsibility for all activity conducted through the relevant account.

3.4. By creating an account, each User confirms that they meet the eligibility requirements set out in this Section. Age confirmation is provided by self-declaration at the time of registration. Scent.to shall be entitled to request supporting documentation where it has reasonable grounds to doubt a User's eligibility.

3.5. In order to access certain features of the Platform, including listing products for sale or placing orders, Users are required to create an account. When creating an account, Users confirm that they have provided accurate, complete and up-to-date information and undertake to keep such information current.

3.6. Users are responsible for maintaining the confidentiality and security of their login credentials and for all activities carried out through their account. Users must notify Scent.to promptly of any unauthorised access to or use of their account.

3.7. Scent.to shall be entitled at any time to request additional information or documentation from Users, including proof of identity, ownership of items, payment verification or other supporting evidence reasonably required to verify compliance with these Terms. Failure to provide such information within a reasonable period may result in suspension, restriction or termination of the User's account.

3.8. Scent.to shall be entitled to suspend, restrict or terminate access to the Platform where:

(a) a User provides false or misleading information;

(b) verification requirements are not satisfied;

(c) the Platform is misused; or

(d) these Terms or applicable law are breached.

4. LISTINGS AND SELLER RESPONSIBILITIES

4.1. Sellers may create Listings for pre-owned fragrance products through the Platform in accordance with the available functionality and the Seller Rules and Prohibited Items Policy. Each Listing must relate to a specific, individually identifiable product.

4.2. By creating a Listing, the Seller confirms that the information provided is accurate, complete and not misleading at the time of submission, and that the product complies with these Terms and applicable law.

4.3. Sellers are responsible for ensuring that Listings accurately describe, at a minimum:

(a) the brand, name and version of the fragrance;

(b) the approximate remaining quantity or fill level;

(c) the condition of the bottle, atomiser and packaging;

(d) whether original packaging or accessories are included;

(e) any visible defects, alterations or signs of prior use;

(f) where known to the Seller, the name or trade name of the manufacturer and any safety warnings or information required under applicable product safety legislation, including Regulation (EU) 2023/988 (GPSR) and Regulation (EC) No 1223/2009 on cosmetic products.

4.4. All products offered on the Platform are pre-owned fragrance products. Sellers acknowledge that such products may show signs of prior use and that factors such as age, storage conditions and prior handling may affect appearance or scent perception. This acknowledgement does not relieve Sellers of their obligation to provide an honest and accurate description of the product.

4.5. By listing a product, the Seller confirms that:

(a) the Seller is the lawful owner of the product or otherwise has the unrestricted right to sell it;

(b) the product is not stolen, counterfeit or unlawfully obtained;

(c) the product is genuine and has not been refilled, decanted, repackaged or altered in any way;

(d) the sale of the product does not infringe third-party rights.

4.6. The following items must not be listed on the Platform:

(a) counterfeit or replica products;

(b) refilled, decanted or otherwise altered products;

(c) products transferred into non-original containers;

(d) products that pose a health or safety risk;

(e) products that are expired or have been stored in conditions that would reasonably be expected to affect their safety or fitness for use;

(f) items prohibited by applicable law.

4.7. Scent.to shall be entitled to remove Listings or take other appropriate measures where a Listing violates these Terms or applicable law.

4.8. Sellers' detailed obligations, including confirmations given in connection with each Listing and Transaction, are set out in the Seller Agreement, which forms part of the Platform Policies and is binding upon all Sellers.

5. HOW TRANSACTIONS WORK

5.1. The Platform enables Buyers and Sellers to conclude Transactions through a structured digital interface.

5.2. By placing an order, a Buyer submits an offer to purchase the product from the Seller under the terms specified in the Listing.

5.3. A contract between the Buyer and the Seller is formed when the Seller accepts the order through the Platform's functionality.

5.4. Payments made by Buyers are processed exclusively by the PSP. Scent.to does not itself receive, hold or control Transaction funds. Funds paid by a Buyer are held by the PSP in accordance with the PSP's regulatory obligations until the Transaction is completed in accordance with the Platform's operational procedures, at which point the PSP arranges for the release of the net amount to the Seller, subject to the deduction of applicable platform fees.

5.5. Scent.to coordinates logistics and, where applicable, organises the routing of products through its designated facility for verification purposes prior to onward dispatch to the Buyer. Such routing is part of the technical organisation of delivery and does not affect the legal relationship between Buyer and Seller or the allocation of title to the product.

5.6. Sellers are responsible for dispatching products in accordance with the instructions communicated through the Platform and within the timeframes specified in the Seller Agreement and Platform Policies.

5.7. Risk of loss of or damage to a product is allocated as follows:

(a) from dispatch by the Seller until receipt at Scent.to's designated facility: risk remains with the Seller;

(b) while the product is at Scent.to's designated facility: Scent.to undertakes to exercise reasonable care in handling and storage. Scent.to shall be liable to the Seller for loss or damage directly caused by Scent.to's own negligence during this period, up to the Listing Price;

(c) from dispatch to the Buyer: risk passes to the Buyer upon delivery.

5.8. Once delivery to the Buyer has been confirmed and the applicable Inspection Period has expired without an approved claim, the PSP releases the transaction amount to the Seller, subject to the deduction of applicable platform fees and any other amounts properly applied in accordance with the Seller Agreement.

5.9. Scent.to shall not be responsible for delivery failures caused by incorrect addresses provided by Users, refusal to accept delivery or failure to collect a parcel. In such cases, Scent.to may charge reasonable handling or return costs and may take appropriate steps to resolve the situation, including returning the item to the Seller.

5.10. Scent.to shall be entitled to suspend, cancel or reverse a Transaction and delay or withhold the release of funds where reasonably necessary, including in cases of suspected fraud, breach of these Terms, product safety concerns, failure to dispatch or compliance-related issues. Where funds are withheld, Scent.to undertakes to notify the affected User of the reason and to release the withheld amount promptly upon resolution, subject to any deductions that may apply.

5.11. Additional operational details relating to transaction timelines, shipping procedures, dispute handling and payment release are set out in the relevant Platform Policies.

6. VERIFICATION AND PLATFORM SERVICES

6.1. In order to support trust and transparency within the marketplace, Scent.to provides Verification services in connection with Transactions where products are routed through its designated facility prior to dispatch to the Buyer.

6.2. Verification is limited in scope to a reasonable-efforts visual and functional examination of the product at a specific point in time. The purpose of Verification is solely to assess whether the product physically corresponds to the description provided by the Seller in the Listing, including fill level, condition, packaging and disclosed defects.

6.3. Verification does not constitute and must not be understood as:

(a) authentication or confirmation of the genuineness or origin of the product;

(b) certification, expert appraisal or laboratory analysis of any kind;

(c) a guarantee of the product's safety, composition or fitness for any particular purpose;

(d) an endorsement by any brand owner or rights holder.

6.4. The outcome of Verification does not replace or reduce the Seller's responsibility for the accuracy of the Listing or for compliance with applicable law. Where Verification reveals a material discrepancy between a product and its Listing, Scent.to shall be entitled to take the measures set out in the Seller Agreement, including rejection of the product, cancellation of the Transaction or adjustment of the Listing with the parties' agreement.

6.5. Scent.to does not assume responsibility for manufacturing defects, product composition, safety characteristics or any other attributes of products offered through the Platform, to the extent permitted by applicable law.

7. PRICES, FEES AND PAYMENTS

7.1. Scent.to may provide suggested pricing or pricing guidance for products listed on the Platform based on available data, market trends or internal algorithms. Sellers remain free to accept or reject any suggested price and are solely responsible for determining the final Listing Price of their products.

7.2. The Listing Price represents the amount payable by the Buyer for the product. Delivery charges, platform fees and any optional services selected through the Platform are presented separately at checkout, unless explicitly stated otherwise.

7.3. Payments made by Buyers are processed exclusively by the PSP. Scent.to does not provide regulated payment services and does not itself hold or control funds belonging to Users. All payment processing, including the acceptance, holding and transfer of funds, is performed by the PSP in accordance with its own regulatory obligations and terms.

7.4. In connection with Transactions, funds paid by Buyers are held by the PSP until the Transaction is completed in accordance with the Platform's operational procedures. Following successful completion, the PSP arranges for the transfer of the net amount to the Seller's designated account, subject to applicable deductions.

7.5. Platform fees constitute consideration for Services provided by Scent.to and are charged to Sellers as a percentage of the Listing Price, in accordance with the Fees and Payments Policy. For the avoidance of doubt, VAT is charged by Scent.to solely on its fees for Services — not on the Listing Price, which represents the consideration payable by the Buyer to the Seller under the Transaction.

7.6. Platform fees and any applicable charges are deducted by the PSP as part of the transaction flow, in accordance with the Fees and Payments Policy. The Seller receives the net amount after deduction of all applicable fees.

7.7. Sellers are responsible for creating and maintaining an account with the PSP and for completing any applicable identity verification or compliance checks required by the PSP. Scent.to is not responsible for any acts or omissions of the PSP, including delays, payment failures, compliance checks or withholding of funds in accordance with applicable law or PSP policies.

7.8. Sellers remain solely responsible for determining and fulfilling any tax obligations arising from their sales conducted through the Platform.

7.9. Scent.to shall be entitled to modify its fee structure from time to time. Any changes shall apply prospectively and shall be communicated through the Platform no less than thirty (30) days in advance of the effective date. Users who do not accept a modification shall be entitled to close their account before the effective date without penalty.

7.10. Where Scent.to charges Buyers for any platform services, including delivery or optional buyer services, Buyers who qualify as consumers shall be entitled to withdraw from such service contract within fourteen (14) days of conclusion in accordance with applicable consumer protection law, unless the service has already been fully performed with the Buyer's prior express consent. The right of withdrawal does not apply to the purchase of products, which is governed by the terms of the Transaction between the Buyer and the Seller.

8. CONSUMER RIGHTS AND RETURNS

8.1. Transactions conducted through the Platform are concluded directly between private individuals. Scent.to is not the seller of any product listed on the Platform. Buyers are informed that where the Seller is a private individual, the transaction may not be subject to the statutory consumer rights that apply to purchases from professional traders, including rights of withdrawal and conformity under applicable EU consumer protection law. Scent.to fulfils its information obligations under applicable law by making this disclosure. In addition to any rights available at law, Scent.to provides Buyers with a platform-level dispute and returns mechanism as described in this Section and in the Returns and Refunds Policy. This mechanism is provided voluntarily by Scent.to and does not constitute a representation that Scent.to is the seller or guarantor of any product.

8.2. Buyers acknowledge that products offered on the Platform are pre-owned fragrance products and may show signs of prior use, ageing or storage conditions associated with second-hand goods. Buyers are responsible for carefully reviewing Listings, including descriptions and condition details, before placing an order.

8.3. Sellers confirm that all products have been stored under appropriate conditions, have not been tampered with, altered or degraded and are not expired or otherwise unsafe for use, to the extent applicable.

8.4. Following delivery of a product, the Buyer shall have an Inspection Period during which they may report a significant and objectively verifiable discrepancy between the product received and the Listing description. The duration of the Inspection Period and the procedure for raising a dispute are set out in the Returns and Refunds Policy.

8.5. A dispute may be submitted where the Buyer provides supporting evidence at the time of submission. Scent.to's own Verification records, including photographs and condition assessments made at its facility prior to dispatch, shall be taken into account as part of the evidence base in assessing any dispute, regardless of whether the Buyer submits additional documentation. Disputes based solely on subjective assessments of condition, scent perception or personal preference shall not constitute valid grounds under the Platform's dispute mechanism.

8.6. If a Buyer submits a substantiated dispute within the applicable period, Scent.to may facilitate resolution between the Buyer and the Seller in accordance with the Returns and Refunds Policy. The submission of a dispute does not automatically entitle the Buyer to a refund. Each case shall be reviewed individually based on available evidence.

8.7. Returns of products that have been used, or handled beyond what is reasonably necessary to assess their condition, may be restricted or refused in accordance with the Returns and Refunds Policy.

8.8. Nothing in these Terms is intended to exclude or limit any rights that may apply to Users under mandatory provisions of applicable law, including consumer protection legislation applicable in the User's country of residence within the European Union.

8.9. Detailed procedures relating to disputes, returns and refunds are set out in the Returns and Refunds Policy, which forms part of the Platform Policies.

9. PROHIBITED CONDUCT AND PLATFORM ENFORCEMENT

9.1. Users must use the Platform in a lawful, honest and responsible manner and in accordance with these Terms and the Platform Policies.

9.2. Prohibited conduct includes, without limitation:

(a) providing false or misleading information in connection with registration, Listings or Transactions;

(b) listing prohibited, counterfeit or unlawfully obtained products;

(c) fraudulent or abusive behaviour towards other Users or Scent.to;

(d) misuse of the dispute, return or chargeback mechanisms;

(e) attempting to conduct or redirect Transactions outside the Platform;

(f) interference with the operation, security or integrity of the Platform;

(g) systematic or commercial use of the Platform in breach of Section 14;

(h) violations of applicable law or third-party rights.

9.3. Where Scent.to reasonably determines that a User has breached these Terms, it shall be entitled to take proportionate enforcement measures, which may include:

(a) issuing a warning to the User;

(b) removing or restricting access to specific Listings;

(c) suspending or restricting the User's account functionality;

(d) terminating the User's access to the Platform.

9.4. Before taking enforcement measures under clause 9.3(c) or 9.3(d), other than in cases requiring immediate action under clause 13.1, Scent.to undertakes to notify the User of the identified breach and allow a reasonable opportunity to respond, in accordance with Section 16.

9.5. Enforcement actions do not affect any rights or obligations of either Party that arose prior to such actions.

9.6. Users who repeatedly engage in prohibited conduct or repeatedly submit unlawful Listings may have their accounts permanently restricted or terminated.

10. LIABILITY AND LEGAL LIMITS

10.1. Scent.to operates the Platform as a marketplace operator facilitating Transactions between independent Buyers and Sellers. Scent.to is not the seller of products listed on the Platform and is not a party to any Transaction.

10.2. Responsibility for products offered through the Platform, including their condition, description, genuineness, legality and safety, rests with the Seller. The detailed allocation of liability as between Scent.to and Sellers is governed by the Seller Agreement.

10.3. To the extent permitted by applicable law, Scent.to shall not be liable for losses or damages arising from acts or omissions of Buyers, Sellers or third parties, including losses related to the purchase, condition or use of products obtained through the Platform. This limitation does not apply to direct physical loss of or damage to a product caused by Scent.to's own negligence during physical handling at its facility, which is addressed in clause 10.7.

10.4. Subject to clause 10.3 and 10.7, Scent.to's liability arising out of or in connection with the use of the Platform or these Terms shall, to the extent permitted by applicable law, be limited to the amount of platform fees received by Scent.to in relation to the Transaction giving rise to the claim.

10.5. Scent.to shall not be liable for indirect or consequential losses, including loss of profit, loss of business or loss of data, to the extent permitted by applicable law.

10.6. Nothing in these Terms limits or excludes liability where such limitation is prohibited by applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

10.7. Scent.to undertakes to exercise reasonable care in the physical handling of products routed through its facility in the course of providing the Services. Where direct physical loss of or damage to a product is caused by Scent.to's own negligence during handling or storage, Scent.to's liability to the Seller shall be limited to the Listing Price of the relevant product, subject to the terms of the Seller Agreement. Where such loss or damage affects the Buyer's ability to receive the product as described, Scent.to shall arrange for an appropriate remedy in accordance with the Returns and Refunds Policy.

11. DATA PROTECTION AND PRIVACY

11.1. Scent.to processes personal data of Users in accordance with applicable data protection laws, including Regulation (EU) 2016/679 (General Data Protection Regulation — GDPR) and the laws of the Republic of Latvia.

11.2. For the purposes of applicable data protection law, Scent.to acts as an independent data controller in relation to personal data processed in connection with the operation of the Platform. Users acknowledge that other Users may also act as independent data controllers in relation to personal data exchanged in the course of Transactions.

11.3. Scent.to uses third-party service providers in connection with the operation of the Platform, including payment service providers and infrastructure providers. Where such providers process personal data on behalf of Scent.to, appropriate data processing agreements are in place in accordance with applicable law. The categories of recipients to whom personal data may be disclosed are set out in the Privacy Policy.

11.4. Scent.to is subject to reporting obligations under EU Council Directive 2021/514 (DAC7), which may require Scent.to to report information regarding Sellers' transaction activity on the Platform to relevant tax authorities. Sellers acknowledge this obligation and undertake to provide accurate information as required.

11.5. Users have the right to request erasure of their personal data in accordance with GDPR Article 17, subject to any applicable legal retention obligations. Users may also exercise other rights afforded to them under applicable data protection law, including the right of access, rectification and portability. Further information regarding Users' rights and the procedures for exercising them is set out in the Privacy Policy.

11.6. Further information regarding the processing of personal data, including data retention practices and the basis for processing, is set out in the Platform's Privacy Policy, which forms an integral part of these Terms.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1. These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Latvia.

12.2. Where a User qualifies as a consumer under the laws of their country of residence within the European Union, this choice of law shall not deprive the User of the protection afforded by mandatory consumer protection provisions of the law of the User's country of residence. In such cases, the User may also bring proceedings before the competent courts of their country of residence.

12.3. Subject to clause 12.2, the courts of the Republic of Latvia shall have jurisdiction to resolve disputes arising out of or in connection with these Terms or the use of the Platform.

12.4. Users who qualify as consumers shall be entitled to make use of alternative dispute resolution mechanisms available under applicable law, including those provided by national consumer dispute resolution bodies established pursuant to Directive 2013/11/EU on alternative dispute resolution for consumer disputes.

12.5. Before initiating formal proceedings, Users are encouraged to contact Scent.to through the internal complaint handling mechanism described in Section 16, with a view to resolving the matter without recourse to formal dispute resolution.

13. REPORTING ILLEGAL CONTENT AND PRODUCTS

13.1. Users and third parties may report content, Listings or products that they believe to be illegal or in violation of applicable law through the mechanisms provided on the Platform.

13.2. Reports may include, for example, Listings involving counterfeit products, stolen goods, unsafe products or other unlawful items. Scent.to shall make available appropriate mechanisms enabling Users or competent authorities to submit such notices.

13.3. Upon receiving a sufficiently substantiated notice, Scent.to shall review the reported content without undue delay and take appropriate measures where necessary, including removal of Listings, restriction of User access or referral to competent authorities.

13.4. Where Scent.to takes a decision to remove or restrict access to content, suspend or terminate a User's account, Scent.to shall provide a statement of reasons to the affected User in accordance with applicable law, subject to any limitations required by law enforcement or regulatory considerations.

13.5. Users who repeatedly submit unlawful Listings or repeatedly engage in unlawful conduct may have their accounts restricted or terminated in accordance with Section 9.

13.6. Scent.to shall cooperate with competent authorities where required by applicable law, including in relation to product safety, intellectual property rights and consumer protection matters.

14. PROFESSIONAL AND PRIVATE SELLERS

14.1. The Platform is designed primarily for private individuals who wish to sell fragrance products from their personal collections.

14.2. Unless expressly authorised by Scent.to, Users may list products on the Platform only in a private, non-commercial capacity. Sellers must not use the Platform to conduct professional or commercial trading activity, including systematic resale of products or sales carried out as part of a business activity.

14.3. Buyers are informed that Transactions concluded with private Sellers may not be subject to the same consumer protection rules that apply to purchases from professional traders under applicable law. This disclosure is made in accordance with Scent.to's obligations under applicable EU consumer protection legislation.

14.4. Scent.to shall be entitled to request additional information from Sellers where necessary to determine whether their activity on the Platform constitutes professional or commercial trading. Indicators that may be taken into account include the volume, frequency and pattern of sales, the nature of the products listed and any other relevant circumstances.

14.5. Where Scent.to reasonably determines that a Seller is acting in a professional or commercial capacity, Scent.to shall be entitled to:

(a) require the Seller to comply with additional obligations applicable to professional traders under applicable law;

(b) restrict the Seller's listing activity pending further review;

(c) suspend or terminate the Seller's account in accordance with Section 9.

14.6. The detailed obligations applicable to Sellers, including the consequences of acting in a professional or commercial capacity, are set out in the Seller Agreement.

14.7. Sellers who are registered for VAT or otherwise hold professional trader status in their country of residence undertake to notify Scent.to before creating any Listing. Such Sellers may not use the Platform in a private capacity and must comply with any additional requirements imposed by Scent.to in accordance with applicable law.

15. PRODUCT SAFETY

15.1. Sellers shall provide accurate and complete information regarding the origin, condition and safety of products, including any information required to ensure traceability under applicable law. Sellers must not list products that are unsafe, recalled, counterfeit or otherwise prohibited under applicable law.

15.2. Sellers shall cooperate with Scent.to and competent authorities in relation to product safety matters, including by providing relevant documentation and taking corrective measures where required.

15.3. Where Scent.to becomes aware that a product listed on the Platform may pose a safety risk, Scent.to shall be entitled to take appropriate measures including suspension or removal of the Listing, restriction of the Seller's account and cooperation with competent authorities.

15.4. Scent.to shall be entitled to request additional information from Sellers in relation to product safety where necessary to comply with applicable regulatory obligations, including those arising under Regulation (EU) 2023/988 on general product safety (GPSR) and Regulation (EC) No 1223/2009 on cosmetic products. In respect of cosmetic products, Scent.to undertakes to verify, prior to dispatch, that mandatory labelling information is present, that applicable use-by dates have not been exceeded and that product conditions have not been compromised in a way that may affect safety.

15.5. As a provider of an online marketplace and, in respect of products passing through its facility, as a fulfilment service provider within the meaning of Regulation (EU) 2023/988 (GPSR), Scent.to undertakes to:

(a) take corrective measures in respect of products it handles where a safety risk is identified, including withdrawal from the transaction flow and notification of the relevant Seller and, where required, competent authorities;

(b) maintain traceability records in respect of products passing through its facility to the extent required by applicable law, including records of the source and destination of each product;

(c) cooperate with market surveillance authorities as required by applicable law;

(d) register with the EU Safety Gate portal and designate a single point of contact for product safety matters as required under applicable law.

15.6. In accordance with its obligations as a provider of an online marketplace under Article 22 of Regulation (EU) 2022/2065 (Digital Services Act), Scent.to undertakes to design and maintain the Platform in a manner that enables Sellers to comply with their product safety obligations and to take appropriate measures upon becoming aware of unsafe products, including through cooperation with the EU Safety Gate rapid alert system.

15.7. The obligations set out in clauses 15.5 and 15.6 apply to Scent.to in its capacity as a commercial service provider and do not alter the allocation of responsibility for product safety between Sellers and Scent.to as set out in the Seller Agreement. Sellers remain primarily responsible for the safety and lawfulness of the products they list and sell.

16. INTERNAL COMPLAINT HANDLING

16.1. Users may submit complaints regarding decisions taken by Scent.to in relation to content moderation, account restrictions, Listing removals or enforcement actions through the mechanisms provided on the Platform. Scent.to undertakes to review such complaints in a timely and proportionate manner.

16.2. Where Scent.to takes a decision that materially affects a User, Scent.to undertakes to:

(a) notify the User of the decision and its grounds;

(b) provide the User with an opportunity to submit a complaint within fourteen (14) days of notification;

(c) review the complaint in good faith and communicate the outcome to the User within a reasonable time.

16.3. The submission of a complaint does not prevent Users from pursuing other remedies available under applicable law, including through national consumer dispute resolution bodies or the courts.

16.4. This internal complaint handling mechanism applies only to decisions taken by Scent.to in relation to content moderation, account restrictions or enforcement actions. It does not apply to disputes between Users, which are addressed through the mechanism described in Section 8 and the Returns and Refunds Policy.

17. COOPERATION WITH TRUSTED FLAGGERS

17.1. Scent.to may cooperate with entities designated as trusted flaggers under applicable law, including pursuant to Regulation (EU) 2022/2065 (Digital Services Act), for the purpose of identifying illegal content or products on the Platform.

17.2. Notices submitted by trusted flaggers shall be processed without undue delay and may be prioritised in accordance with applicable legal requirements.

17.3. Cooperation with trusted flaggers does not limit the rights of individual Users to submit reports under Section 13 or to pursue remedies available under applicable law.

Any amendment shall be communicated to Users no less than thirty (30) days before its effective date through the Platform or by other appropriate means. A User's continued use of the Platform after the effective date of an amendment shall constitute acceptance of the amended Terms. Users who do not accept an amendment shall be entitled to close their account before the effective date without penalty.

19.2. Completeness of Terms. These Terms, together with the Platform Policies, constitute the complete agreement between Scent.to and Users with respect to the use of the Platform and supersede all prior agreements and understandings relating to the same subject matter.

19.3. Severability. If any provision of these Terms is found to be invalid, unenforceable or contrary to applicable law by a competent court or authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

19.4. No Waiver. A failure or delay by Scent.to to exercise any right under these Terms shall not constitute a waiver of that right or of any subsequent breach of the same or any other provision.

19.5. Language. These Terms are made available in the English language. Where the Platform provides translations for informational purposes, the English version shall prevail in the event of any inconsistency.

19.6. Consumer Rights Preservation. Nothing in these Terms is intended to limit or exclude any rights that Users may have under mandatory provisions of applicable law, including EU consumer protection legislation and consumer protection laws applicable in the User's country of residence within the European Union. Where any provision of these Terms is inconsistent with a mandatory consumer protection rule applicable to a User, that mandatory rule shall prevail to the extent of the inconsistency.

2. SUBJECT MATTER OF THE AGREEMENT

2.1. Under this Agreement, Scent.to undertakes to provide the Seller with access to the Platform and the Services on the terms set out herein. The Seller undertakes to use the Platform in accordance with this Agreement and the Platform Policies, and to pay the applicable Commission upon completion of a Transaction.

2.2. This Agreement governs the relationship between Scent.to and the Seller exclusively. It does not create any rights or obligations between the Seller and any Buyer, which are governed by the terms of the Transaction concluded between them through the Platform.

2.3. Scent.to does not purchase, acquire title to, or become the owner of any Product at any point. Scent.to acts solely as an intermediary providing Services to facilitate Transactions between the Seller and Buyers. The contract of sale in respect of any Product is concluded directly between the Seller and the Buyer.

2.4. The Seller acknowledges that Scent.to is not a party to any Transaction and does not act as an agent, representative or guarantor of the Seller in relation to any Buyer, except to the extent expressly provided in this Agreement.

2.5. For the avoidance of doubt, the physical receipt, examination and onward dispatch of a Product by Scent.to in the course of providing the Services constitutes a logistical and technical operation carried out on behalf of the Seller for the purpose of facilitating delivery to the Buyer. Such activities do not constitute the acquisition of ownership, legal possession or control over the Product by Scent.to beyond what is reasonably necessary for the performance of the Services.

3. SELLER ELIGIBILITY AND REGISTRATION

3.1. The Seller must be a natural person of at least eighteen (18) years of age with full legal capacity to enter into binding agreements under the law of their country of residence.

3.2. The Seller undertakes to use the Platform solely in a private, non-commercial capacity. The Seller must not use the Platform to conduct systematic resale activity, to sell Products acquired for the purpose of resale, or to otherwise operate as a professional or commercial trader.

3.3. By accepting this Agreement, the Seller confirms that:

(a) they are acting in their own name and on their own behalf as a private individual;

(b) the Products they intend to list originate from their personal collection and have not been acquired with the primary intention of resale;

(c) they are not registered or required to be registered for VAT in connection with their selling activity on the Platform;

(d) all information provided during registration is accurate, complete and not misleading.

3.4. Scent.to shall be entitled to request supporting documentation from the Seller at any time to verify eligibility, including proof of identity and, where applicable, evidence of ownership of Products. The Seller undertakes to provide such documentation within the reasonable period designated by Scent.to. Failure to do so may result in suspension of the Seller's account and withholding of any pending Net Payout pending resolution.

3.5. Where Scent.to reasonably determines, based on the volume, frequency or nature of the Seller's activity on the Platform, that the Seller may be acting in a professional or commercial capacity, Scent.to shall be entitled to:

(a) notify the Seller and request clarification or supporting documentation;

(b) require the Seller to comply with additional obligations applicable to professional traders under applicable law before permitting further listing activity;

(c) suspend or restrict the Seller's listing activity pending further review;

(d) terminate this Agreement in accordance with Section 14 if the Seller is confirmed to be acting commercially.

3.6. The Seller undertakes to notify Scent.to promptly if their circumstances change such that any confirmation in clause 3.3 ceases to be accurate.

4. SELLER'S CONFIRMATIONS AND UNDERTAKINGS

4.1. By submitting a Product for listing and by completing a Transaction, the Seller confirms to Scent.to the following, which shall be deemed repeated at the time of each Listing and at the time of each Transaction:

(a) the Seller is the sole lawful owner of the Product and has full, unencumbered right and authority to sell it;

(b) the Product is not stolen, misappropriated, subject to any third-party claim, lien, security interest or other encumbrance that would affect the Buyer's ability to acquire clean title;

(c) the Product is genuine — it has not been counterfeited, replicated, altered, tampered with, refilled, decanted, repackaged or transferred into non-original containers, and corresponds to the brand and product identity stated in the Listing;

(d) the Product has not been modified in any way that affects its composition, safety, presentation or the integrity of its original packaging;

(e) the Product has been stored under conditions that would not reasonably be expected to affect its safety, quality or fitness for use, and the Seller is not aware of any circumstance — including degradation, contamination, abnormal change in scent character or exposure to extreme conditions — that could render the Product unsafe for its intended purpose;

(f) where the Product carries a period-after-opening symbol or a use-by date, the Product is within the indicated period and the Seller has disclosed any relevant information regarding its age or condition in the Listing;

(g) the Listing accurately and completely describes the Product, including its brand, name, fill level, condition, packaging status and any visible defects, and does not contain any false, misleading or omitted information that could affect a Buyer's decision to purchase;

(h) the sale of the Product does not infringe any third-party intellectual property rights, including trade marks, design rights or rights in get-up;

(i) the Seller is not aware of any recall, prohibition, regulatory restriction or safety advisory applicable to the Product;

(j) the Seller has the right to grant Scent.to permission to physically receive, examine, store and dispatch the Product on the Seller's behalf for the purposes of the Services.

4.2. The confirmations in clause 4.1 are material terms of this Agreement. Any breach, whether known or unknown to the Seller at the time of Listing, shall entitle Scent.to to exercise the remedies available to it under Sections 11 and 12 of this Agreement, subject to the limitations set out in clause 11.4.

4.3. The Seller acknowledges that Scent.to relies on the accuracy of the confirmations in clause 4.1 in providing the Services and that Scent.to would not have entered into this Agreement or facilitated any Transaction in their absence.

4.4. Nothing in this Section limits or excludes any rights the Seller may have under mandatory provisions of applicable law and EU consumer protection legislation applicable in the Seller's country of residence. Where any provision of this Agreement conflicts with a mandatory consumer protection rule applicable to the Seller, that mandatory rule shall prevail to the extent of the conflict.

5. LISTING PROCESS AND SELLER OBLIGATIONS

5.1. The Seller undertakes to submit Products for listing through the designated functionality of the Platform in accordance with the procedures set out herein and in the Seller Rules and Prohibited Items Policy.

5.2. Each Listing must relate to a single, individually identifiable Product. The Seller undertakes to ensure that each Listing contains, at a minimum, the following information:

(a) the brand and full commercial name of the fragrance;

(b) the approximate remaining fill level, expressed as a percentage range or descriptive category made available through the Platform's listing interface;

(c) an accurate description of the condition of the bottle, atomiser and any accompanying packaging or accessories;

(d) a clear indication of whether original packaging, box or additional accessories are included;

(e) disclosure of any visible defects, scratches, staining, label damage or other signs of use that a reasonable buyer would consider material;

(f) photographs of the actual Product, taken in accordance with the photographic guidelines published on the Platform.

5.3. The Seller undertakes to ensure that all information provided in the Listing is accurate and complete at the time of submission and remains accurate for the duration of the Listing. The Seller undertakes to update or withdraw a Listing promptly upon becoming aware of any change in the Product's condition or any inaccuracy in the Listing.

5.4. Upon submission, Scent.to shall review the Listing for compliance with the Platform Policies and shall be entitled to:

(a) approve the Listing and make it visible to Buyers;

(b) request amendments or additional information from the Seller prior to approval;

(c) reject the Listing where it does not comply with the Platform Policies or applicable law, without being obliged to provide detailed reasons.

5.5. Approval of a Listing by Scent.to does not constitute an endorsement of the Product or a confirmation of the accuracy of the Listing. Responsibility for the content of the Listing remains with the Seller at all times.

5.6. Upon a Buyer placing an order in respect of a Listed Product, the Seller undertakes to:

(a) package the Product securely and in accordance with the shipping guidelines communicated by Scent.to;

(b) dispatch the Product to Scent.to's designated facility within the timeframe specified in the Platform Policies;

(c) provide accurate tracking information through the Platform upon dispatch.

5.7. If the Seller fails to dispatch the Product within the prescribed timeframe without prior notification to Scent.to, Scent.to shall be entitled to cancel the Transaction and arrange for the return of any funds held by the PSP to the Buyer. In such case, Scent.to shall be entitled to charge the Seller a cancellation fee as set out in the Fees and Payments Policy, which may be deducted from any pending Net Payout or other amounts owed to the Seller.

5.8. The Seller undertakes not to engage in any direct communication with the Buyer outside the Platform in connection with a Transaction, unless expressly permitted by Scent.to. Any attempt to conduct or redirect a Transaction outside the Platform constitutes a material breach of this Agreement.

6. VERIFICATION SERVICES

6.1. As part of the Services, Scent.to shall conduct a Verification of each Product received at its designated facility prior to onward dispatch to the Buyer.

(a) authentication or confirmation of the genuineness or origin of the Product;

(b) certification, expert appraisal or laboratory analysis of any kind;

(c) a guarantee of the Product's safety, composition or fitness for any particular purpose;

(d) an endorsement by any brand owner or rights holder.

6.4. The outcome of Verification does not relieve the Seller of responsibility for the accuracy of the Listing or for the confirmations given under Section 4.

6.5. Where Verification reveals a material discrepancy between the Product and its Listing — including but not limited to a significantly different fill level, condition, undisclosed defects or packaging discrepancy — Scent.to shall be entitled to:

(a) notify the Seller of the discrepancy and request confirmation or correction;

(b) adjust the Product's condition category, fill level description, or Listing Price to accurately reflect the Product as received, and publish the Listing as adjusted, provided that Scent.to notifies the Seller of the adjustment. The Seller shall have twenty-four (24) hours from notification to object to the adjustment and request return of the Product instead, in accordance with clause 6.5(c). Where the Seller does not object within this period, the adjusted Listing shall remain published as corrected;

(c) reject the Product and return it to the Seller at the Seller's cost, in which case no Commission shall be charged but a handling fee may apply as set out in the Fees and Payments Policy;

(d) cancel the Transaction and arrange for return of the Buyer's payment in full via the PSP, where the discrepancy is of a nature that a reasonable Buyer would not have concluded the Transaction had they been aware of it.

6.6. The measure in clause 6.5(b) applies where the discrepancy relates to fill level, condition, or minor presentation details that do not affect the fundamental identity of the Product. Where the discrepancy concerns the Product's authenticity, brand identity, or gives rise to a safety concern, Scent.to shall proceed under clause 12.1 rather than adjusting and republishing the Listing.

6.7. Where Verification gives rise to a reasonable suspicion that a Product may be counterfeit, unsafe or otherwise in breach of clause 4.1, Scent.to shall be entitled to withhold the Product and the corresponding Net Payout pending further review, and to take the measures described in Section 12.

6.8. Scent.to undertakes to exercise reasonable care in the physical handling of Products during Verification and storage. Where loss of or damage to a Product is directly caused by Scent.to's own actions during handling, Scent.to shall be obliged to compensate the Seller for the diminution in value attributable to such loss or damage, up to the Listing Price, provided that the Seller notifies Scent.to of the loss or damage within seven (7) days of the Product's return or of notification by Scent.to. This obligation does not apply to pre-existing damage not disclosed in the Listing or to deterioration inherent to the nature of pre-owned fragrance products.

7. PRICING, COMMISSION AND OPTIONAL SERVICES

7.1. The Seller shall set the Listing Price for each Product freely and at their own discretion. Scent.to may provide non-binding pricing suggestions based on market data, which the Seller is under no obligation to follow.

7.2. The Platform enforces a minimum Listing Price, applied automatically at the point of Listing creation. The current minimum is displayed to the Seller within the Platform's listing interface before submission. Scent.to shall be entitled to adjust the minimum Listing Price at its discretion; any such adjustment shall apply prospectively to Listings created after the change and does not require prior notice, as the minimum is a technical parameter of the Platform rather than a contractual commitment.

7.3. The Commission payable by the Seller to Scent.to for each completed Transaction is calculated as a percentage of the Listing Price in accordance with the rate applicable at the time of Listing, as set out in the Fees and Payments Policy. The applicable Commission rate shall be clearly displayed to the Seller prior to submission of each Listing.

7.4. The Commission constitutes consideration for the Services provided by Scent.to and is inclusive of applicable VAT where VAT is chargeable on the Services. For the avoidance of doubt, VAT is charged by Scent.to solely on the Commission and on any fees for Optional Services — not on the Listing Price, which represents the consideration payable by the Buyer to the Seller under the Transaction.

7.5. The Seller may select Optional Services at the time of Listing or thereafter through the Platform's functionality. Optional Services are charged only upon completion of a Transaction, except where expressly stated otherwise in the Fees and Payments Policy. The fees for Optional Services shall be clearly disclosed to the Seller prior to selection and shall be deducted from the Net Payout.

7.6. Scent.to shall be entitled to amend Commission rates and Optional Services fees from time to time. Any amendment shall apply only to Listings created after the effective date of the amendment and shall be communicated to the Seller no less than fourteen (14) days in advance. Listings already submitted prior to the effective date of an amendment shall remain subject to the Commission rate applicable at the time of their submission.

7.7. No Commission or Optional Services fees shall be charged to the Seller where a Transaction is cancelled prior to dispatch of the Product by the Seller, provided that cancellation fees under clause 5.7 may apply in cases of cancellation caused by the Seller's failure to dispatch.

8. PAYMENT MECHANICS AND PAYOUTS

8.1. All payments made by Buyers in connection with Transactions are processed exclusively by the PSP. Scent.to does not itself receive, hold or control Transaction funds at any point. Funds paid by a Buyer are held by the PSP in accordance with the PSP's regulatory obligations and the payment flow described in this Section.

8.2. Upon completion of a Transaction — meaning the expiry of the Inspection Period without an approved Buyer dispute, or earlier confirmation of acceptance by the Buyer — the PSP shall arrange for the release of the Net Payout to the Seller's designated bank account, subject to any deductions provided for under this Agreement.

8.3. The standard payout timeline following completion of a Transaction is set out in the Fees and Payments Policy. That timeline refers to Scent.to's initiation of the payout through the PSP. The Seller acknowledges that the actual timing of fund receipt in their bank account may depend on the PSP's processing schedules, risk review procedures, and the Seller's bank, and that this is particularly likely to extend the timeline for a Seller's first payout. Scent.to is not responsible for delays caused by such factors.

8.4. The following amounts shall be deducted from the Listing Price prior to calculation of the Net Payout:

(a) the Commission, at the rate applicable to the Listing at the time of its creation;

(b) fees for any Optional Services selected by the Seller;

(c) any cancellation or handling fees applied in accordance with this Agreement;

(d) any amounts withheld or deducted pursuant to Sections 10, 11 or 12 of this Agreement.

8.5. Scent.to undertakes to provide the Seller with a clear breakdown of all deductions applied to each Transaction through the Seller's account dashboard on the Platform. The Seller undertakes to review such statements and to notify Scent.to of any dispute within fourteen (14) days of the statement becoming available. Failure to raise a dispute within this period shall be deemed acceptance of the statement, without prejudice to the Seller's mandatory rights under applicable law.

8.6. In order to receive payouts, the Seller undertakes to provide accurate and complete bank account details and any identity information required through the Platform's onboarding process. The Seller acknowledges that Scent.to is required to collect and transmit certain identity verification information to the PSP in accordance with applicable Know Your Customer obligations, and that the PSP may independently request additional verification from the Seller. Scent.to is not responsible for delays in payout caused by incomplete verification or by the PSP's compliance procedures.

8.7. Where the Seller selects the expedited payout Optional Service, the Net Payout shall be released within the shorter timeline set out in the Fees and Payments Policy, subject to an additional fee deducted from the Net Payout. Eligibility for expedited payout may be subject to account standing and transaction history criteria as determined by Scent.to from time to time.

8.8. Scent.to shall be entitled to withhold release of the Net Payout, in whole or in part, where:

(a) a Buyer dispute has been submitted and remains unresolved during the Inspection Period;

(b) Scent.to has reasonable grounds to suspect fraud, breach of this Agreement or material misrepresentation by the Seller;

(c) a product safety concern has been identified in connection with the Product;

(d) a claim for compensation is being assessed under Section 11;

(e) Scent.to is required to do so by the PSP, a competent authority or applicable law.

8.9. Where funds are withheld under clause 8.8, Scent.to undertakes to notify the Seller of the reason for withholding within a reasonable time and to release the withheld amount promptly upon resolution of the relevant issue, subject to any deductions that may apply. Withholding of funds shall not continue beyond what is reasonably necessary for the purpose stated and shall not exceed ninety (90) days, unless required by applicable law or ongoing legal proceedings.

8.10. The Seller remains solely responsible for determining and fulfilling any tax obligations arising from their sales activity on the Platform, including any income tax or other fiscal obligations applicable in their country of residence. Scent.to shall comply with applicable platform reporting obligations and may report the Seller's transaction data to relevant tax authorities in accordance with such obligations.

9. TITLE, RISK AND PHYSICAL HANDLING

9.1. Title to a Product remains with the Seller until the Transaction is completed and the Buyer acquires ownership in accordance with the applicable contract of sale concluded between the Seller and the Buyer. The physical receipt of a Product by Scent.to does not affect the allocation of title, which at no point passes to or through Scent.to.

9.2. Risk of loss of or damage to a Product is allocated as follows:

(a) from the moment the Seller dispatches the Product until its receipt at Scent.to's designated facility: risk remains with the Seller. The Seller is responsible for ensuring that the Product is adequately packaged and, where appropriate, insured for transit. Scent.to shall not be liable for loss or damage occurring during inbound transit;

(b) from receipt of the Product at Scent.to's designated facility until dispatch to the Buyer: Scent.to undertakes to exercise reasonable care in the physical handling and storage of the Product. Scent.to shall be obliged to compensate the Seller for loss or damage directly caused by Scent.to's own negligence or wilful misconduct during this period, up to the Listing Price. Scent.to shall not be liable for pre-existing defects or damage not disclosed in the Listing, or for deterioration inherent to the nature of pre-owned fragrance products;

(c) from dispatch of the Product to the Buyer: risk passes to the Buyer upon delivery. Where Scent.to arranges outbound delivery on behalf of the Seller, Scent.to undertakes to select a competent carrier and to provide the Seller and Buyer with tracking information. Claims arising from loss or damage during outbound transit shall be addressed in accordance with the carrier's terms and applicable law.

9.3. For the avoidance of doubt, the physical presence of a Product at Scent.to's facility does not constitute a transfer of legal possession within the meaning of applicable law. Scent.to acts in the capacity of a holder with a limited mandate to perform the Services on behalf of the Seller, and does not acquire any proprietary interest in the Product.

9.4. The Seller grants Scent.to a limited, non-exclusive, revocable authorisation to physically receive, examine, photograph, store and dispatch the Product solely for the purposes of performing the Services. This authorisation does not extend to any use of the Product beyond what is necessary for the Services and terminates automatically upon completion or cancellation of the Transaction.

9.5. Where a Transaction is cancelled after the Product has been received at Scent.to's facility, Scent.to undertakes to arrange for the return of the Product to the Seller at the Seller's cost, using a carrier and method reasonably determined by Scent.to. Scent.to shall not be liable for the condition of a Product upon return where deterioration is attributable to the inherent nature of the Product or to pre-existing conditions.

10. BUYER DISPUTES, RETURNS AND REFUNDS

10.1. Where a material discrepancy between a Product and its Listing is identified prior to dispatch, it shall be addressed in accordance with Section 6. This Section applies to claims raised by the Buyer following delivery of the Product, in respect of issues that were not identified or resolved at the Verification stage. Following delivery, the Buyer shall have an Inspection Period during which they may submit a dispute in accordance with this Section. The duration of the Inspection Period is set out in the Returns and Refunds Policy.

10.2. As part of its commitment to marketplace trust, Scent.to provides Buyers with a dispute mechanism that may exceed the rights available to them under applicable law in a transaction between private individuals. A Buyer dispute may be submitted on the following grounds, provided the Buyer supplies supporting evidence at the time of submission:

(a) the Product received is materially and objectively different from the Listing description in a way that a reasonable Buyer would consider significant — minor variations in colour rendering, scent perception or subjective condition assessment shall not constitute grounds for a dispute;

(b) the fill level deviates beyond the stated range, or the physical condition is materially worse than described in the Listing, supported by photographs submitted by the Buyer at the time of raising the dispute;

(c) the Product shows physical damage not disclosed in the Listing, supported by photographs submitted upon receipt before any use of the Product;

(d) the Product raises a credible and substantiated concern regarding its genuineness, supported by a written assessment from a recognised expert or brand-authorised source — a Buyer's subjective belief alone shall not constitute sufficient grounds under this paragraph.

10.3. Upon receipt of a Buyer dispute, Scent.to shall:

(a) notify the Seller of the dispute and its grounds;

(b) provide the Seller with a reasonable opportunity to submit their response and any supporting evidence within the timeframe set out in the Returns and Refunds Policy;

(c) assess the dispute based on available evidence, including the Listing, Verification records, photographs, transit documentation and any submissions by the Seller or Buyer;

(d) communicate its determination to both Parties.

10.4. Where Scent.to determines that a Buyer dispute is substantiated, Scent.to shall be entitled to:

(a) arrange for the return of the Product to Scent.to's facility or directly to the Seller, at the Seller's cost;

(b) arrange for the refund of the Buyer in full or in part from the Transaction funds held by the PSP;

(c) deduct the amount refunded to the Buyer, together with any associated handling costs, from the Net Payout otherwise payable to the Seller.

10.5. Where Scent.to determines that a Buyer dispute is not substantiated, the Net Payout shall be released to the Seller in accordance with Section 8 and no deduction shall be made on account of the dispute.

10.6. The Seller acknowledges that the submission of a Buyer dispute does not automatically entitle the Buyer to a refund and that each case shall be assessed individually on its merits. Scent.to's determination under clause 10.3(d) is made in good faith on the basis of available evidence and is binding on the Parties, subject to the internal complaint procedure described in clause 10.9.

10.7. A return of a Product to the Seller following a substantiated Buyer dispute shall not constitute a finding by Scent.to that the Product is unsafe or counterfeit. Where a safety or authenticity concern arises in connection with a dispute, the provisions of Section 12 shall apply in addition to this Section.

10.8. Costs associated with return shipping of a Product following a substantiated Buyer dispute shall be borne by the Seller and may be deducted from the Net Payout. Where a dispute is determined to be unsubstantiated, return shipping costs shall be borne by the Buyer in accordance with the Returns and Refunds Policy.

10.9. The Seller shall be entitled to challenge Scent.to's determination under clause 10.3(d) through the internal complaint handling mechanism available on the Platform within fourteen (14) days of receiving notification of the determination. The submission of an internal complaint shall not suspend the release of funds to the Buyer where Scent.to has already determined the dispute to be substantiated, but shall be taken into account in assessing any deduction applied to the Seller's Net Payout. The availability of the internal complaint procedure does not limit the Seller's right to pursue other remedies available under applicable law.

10.10. For the avoidance of doubt, the dispute mechanism set out in this Section constitutes a platform-level service provided by Scent.to and does not limit or affect any rights the Seller may have under mandatory provisions of applicable law and EU consumer protection legislation applicable in the Seller's country of residence.

11. COMPENSATION AND SELLER LIABILITY

11.1. The Seller shall be obliged to compensate Scent.to for any losses, damages, costs and expenses, including reasonable legal costs, directly caused by:

(a) any breach by the Seller of the confirmations given under Section 4;

(b) any inaccuracy, omission or misrepresentation in the Listing;

(c) the sale of a counterfeit, unsafe, recalled or unlawfully obtained Product through the Platform;

(d) any infringement of third-party intellectual property rights arising from the Seller's Product or Listing;

(e) any regulatory action, fine or penalty imposed on Scent.to by a competent authority as a direct consequence of the Seller's breach of this Agreement or applicable law;

(f) any claim brought against Scent.to by a Buyer, third party or authority arising from facts or circumstances for which the Seller is responsible under this Agreement.

11.2. Compensation under clause 11.1 shall be the primary mechanism by which Scent.to seeks recovery from the Seller. Scent.to shall first apply any withheld or pending Net Payout amounts to satisfy a compensation claim before pursuing any further recovery from the Seller directly.

11.3. Before applying any deduction from the Net Payout on account of a compensation claim under clause 11.1, Scent.to undertakes to:

(a) notify the Seller in writing of the nature and estimated amount of the claim;

(b) provide the Seller with no less than seven (7) days to submit a written response;

(c) take the Seller's response into account in good faith before making any deduction.

The above procedure may be shortened or omitted where Scent.to is required to act immediately to comply with a legal obligation, prevent imminent harm or fulfil an obligation to a Buyer or competent authority, provided that Scent.to notifies the Seller as soon as practicable thereafter.

11.4. In recognition of the fact that the Seller enters into this Agreement as a private individual and not in a professional or commercial capacity, the following limitations apply to the Seller's liability under clause 11.1:

(a) the obligation to compensate shall apply only to losses that are a direct and foreseeable consequence of the Seller's breach — indirect losses are excluded unless caused by the Seller's fraud or wilful misconduct;

(b) Scent.to undertakes to take reasonable steps to mitigate its losses before seeking recovery from the Seller;

(c) the total amount recoverable from the Seller in respect of any single Transaction shall be subject to the following limits:

— where the breach consists of innocent misrepresentation or simple negligence without knowledge of any defect or prohibited nature of the Product: the Seller's liability shall not exceed five (5) times the Listing Price of the relevant Product;

— where the breach constitutes deliberate misrepresentation or gross negligence in respect of the accuracy of the Listing: the Seller's liability shall not exceed fifteen (15) times the Listing Price, save as provided in the following paragraph;

— where the breach involves fraud, wilful misconduct, the deliberate sale of a Product known by the Seller to be counterfeit or unsafe, or where a claim arises from a third-party rights holder in connection with intellectual property infringement: there shall be no limitation on the Seller's liability, and Scent.to shall be entitled to recover all proven losses, including regulatory fines, enforcement costs and amounts established by a competent authority or agreed in settlement, provided that Scent.to has taken reasonable steps to mitigate the claim;

(d) the obligation to compensate shall not apply where the relevant loss was caused or contributed to by Scent.to's own failure to perform the Services with reasonable care;

(e) the limitations set out in this clause shall not apply where the Seller was acting in a professional or commercial capacity at the time of the relevant Transaction.

11.5. Nothing in this Section affects the Seller's right to bring a claim against Scent.to for breach of this Agreement or for losses arising from Scent.to's own acts or omissions, including any loss caused during physical handling under clause 6.7 or any withholding of funds not justified under clause 8.8.

11.6. Nothing in this Section limits or excludes any rights available to the Seller under mandatory provisions of applicable law on unfair terms in consumer contracts, where such provisions are applicable to the Seller.

12. COUNTERFEIT PRODUCTS AND PRODUCT SAFETY

12.1. Scent.to applies a zero-tolerance approach to counterfeit, unsafe or unlawfully obtained products. Where Scent.to has reasonable grounds to suspect that a Product may be counterfeit, unsafe, recalled or otherwise prohibited under applicable law, Scent.to shall be entitled to take the following measures without prior notice to the Seller:

(a) withhold the Product and suspend release of the corresponding Net Payout pending further review;

(b) cancel the Transaction and arrange for the return of the Buyer's payment in full via the PSP;

(c) withdraw all active Listings created by the Seller pending investigation;

(d) suspend the Seller's account in accordance with Section 13.

12.2. Where Scent.to determines, on the basis of available evidence, that a Product is counterfeit or otherwise unlawful, Scent.to shall be entitled to:

(a) permanently withdraw the Product from sale and retain it for evidentiary purposes or transfer it to competent authorities;

(b) apply the consequences set out in clause 12.3;

(c) cooperate with rights holders, law enforcement authorities and regulatory bodies, including by disclosing the Seller's identity and transaction data to the extent required by applicable law or a court order.

12.3. Where a Product is confirmed to be counterfeit or unsafe, the following financial consequences shall apply:

(a) the Net Payout in respect of the relevant Transaction shall be withheld in full and applied first to any Buyer refund, and thereafter to Scent.to's costs and losses under Section 11;

(b) a handling and investigation fee as set out in the Fees and Payments Policy shall be applied and deducted from any amounts owed to the Seller;

(c) Scent.to shall be entitled to recover further losses from the Seller in accordance with Section 11, without limitation where the Seller acted fraudulently or with knowledge of the counterfeit or unsafe nature of the Product.

12.4. The Seller shall be notified of Scent.to's determination under clause 12.2 and shall have fourteen (14) days to submit a written response through the internal complaint mechanism available on the Platform. Scent.to undertakes to take the Seller's response into account in good faith. The submission of a response does not suspend any measures already taken under clause 12.1 where Scent.to reasonably considers such measures necessary to protect Buyers or comply with applicable law.

12.5. Where the Seller contests Scent.to's determination and provides credible evidence that the Product is genuine, Scent.to undertakes to review the matter and, if the determination is reversed, to release any withheld Net Payout and lift any suspension, subject to any deductions properly applied.

12.6. The rights available to Scent.to under this Section are without prejudice to any further rights available to it under Section 11 or applicable law.

13. ACCOUNT SUSPENSION AND TERMINATION BY SCENT.TO

13.1. Scent.to shall be entitled to suspend the Seller's access to the Platform with immediate effect and without prior notice where:

(a) there is reasonable suspicion of fraud, counterfeiting or other unlawful activity in connection with the Seller's account;

(b) a product safety risk has been identified requiring immediate action;

(c) the Seller's account poses an imminent risk to Buyers or to the integrity of the Platform;

(d) Scent.to is required to act by a competent authority or applicable law.

13.2. In all other cases where Scent.to has identified a material breach of this Agreement, Scent.to undertakes to:

(a) notify the Seller of the identified breach and the proposed measures;

(b) allow the Seller no less than seven (7) days to remedy the breach or submit a response, unless the nature of the breach does not reasonably admit of remedy;

(c) proceed with suspension or termination only where the breach has not been remedied within the specified period or where the Seller's response does not address the breach satisfactorily.

13.3. Scent.to undertakes to notify the Seller of any suspension applied under clause 13.1 as soon as practicable following its implementation, including a statement of the grounds for the suspension.

13.4. Suspension of the Seller's account shall not, by itself, result in the forfeiture of any Net Payout already earned in respect of completed Transactions, subject to any deductions applied under Sections 10, 11 or 12. Scent.to undertakes to release any such amounts upon resolution of the matter giving rise to the suspension, to the extent not applied to outstanding obligations.

14. TERM AND TERMINATION

14.1. This Agreement enters into force upon the Seller's acceptance of its terms through the Platform's registration or onboarding process and remains in force indefinitely until terminated in accordance with this Section.

14.2. Either Party shall be entitled to terminate this Agreement at any time upon written notice to the other Party. The Seller may terminate by closing their account through the mechanism provided on the Platform. Termination by the Seller shall take effect upon completion of any Transactions that were in progress at the time of the notice. Termination by Scent.to shall take effect upon expiry of thirty (30) days' notice, except in the cases described in clause 14.3.

14.3. Scent.to shall be entitled to terminate this Agreement with immediate effect and without prior notice where:

(a) the Seller has committed fraud or deliberately provided false information to Scent.to or to a Buyer;

(b) a Product listed by the Seller has been confirmed to be counterfeit;

(c) the Seller is found to be acting in a professional or commercial capacity in breach of clause 3.2;

(d) continuation of the Agreement would require Scent.to to act in breach of applicable law.

14.4. Termination of this Agreement, for whatever reason, shall not affect:

(a) any rights or obligations of either Party that have accrued prior to the effective date of termination;

(b) any Transaction that was in progress at the time of termination, which shall be completed or wound up in accordance with this Agreement;

(c) any claim by either Party arising from a breach of this Agreement committed before termination.

14.5. Following termination, Scent.to undertakes to release any Net Payout standing to the Seller's credit in respect of completed Transactions, subject to deduction of any amounts properly applied under Sections 10, 11 or 12, within thirty (30) days of the effective date of termination or the completion of any pending Transactions, whichever is later.

14.6. Where this Agreement is terminated by Scent.to under clause 14.2, the Seller shall be entitled to challenge such termination through the internal complaint handling mechanism available on the Platform. This right is without prejudice to any other remedy available to the Seller under applicable law.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1. This Agreement and any non-contractual obligations arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Republic of Latvia.

15.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation or termination, shall be subject to the exclusive jurisdiction of the courts of the Republic of Latvia, subject to clauses 15.3 and 15.4.

15.3. Where the Seller qualifies as a consumer under the laws of their country of residence within the European Union, the choice of Latvian law and jurisdiction shall not deprive the Seller of any protection afforded by mandatory provisions of the law of the country in which the Seller habitually resides. In such cases, the Seller may also bring proceedings before the competent courts of their country of residence.

15.4. The Seller shall be entitled to make use of alternative dispute resolution mechanisms available under applicable law, including those provided by national consumer dispute resolution bodies in the Seller's country of residence.

15.5. Before initiating formal proceedings, either Party undertakes to make a reasonable effort to resolve the dispute through Scent.to's internal complaint handling mechanism, unless the nature of the dispute makes this impractical.

16. GENERAL PROVISIONS

16.1. Amendments. Scent.to shall be entitled to amend this Agreement from time to time. Any amendment shall be communicated to the Seller no less than thirty (30) days before its effective date through the Platform or by other appropriate means. The Seller's continued use of the Platform after the effective date of an amendment shall constitute acceptance of the amended terms. Where an amendment materially affects the Seller's rights or obligations, Scent.to undertakes to draw the Seller's attention to the nature of the change. A Seller who does not accept an amendment shall be entitled to terminate this Agreement before the effective date of the amendment without penalty.

16.2. Completeness of Agreement. This Agreement, together with the Platform Policies, constitutes the complete agreement between the Parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral, relating to the same subject matter.

16.3. Severability. If any provision of this Agreement is found to be invalid, unenforceable or contrary to applicable law by a competent court or authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible. The remaining provisions of this Agreement shall continue in full force and effect.

16.4. No Waiver. A failure or delay by either Party to exercise any right under this Agreement shall not constitute a waiver of that right or of any subsequent breach of the same or any other provision.

16.5. Notices. Any notice or communication required or permitted under this Agreement shall be delivered through the Platform's messaging functionality or to the email address registered by the relevant Party. Notices sent by Scent.to to the Seller's registered email address shall be deemed received on the day of transmission. The Seller is responsible for ensuring that their registered contact details remain current.

16.6. Language. This Agreement is made in the English language. Where the Platform provides translations of this Agreement for informational purposes, the English version shall prevail in the event of any inconsistency.

16.7. Consumer Rights Preservation. Nothing in this Agreement is intended to limit or exclude any rights that the Seller may have under mandatory provisions of applicable law and EU consumer protection legislation. Where any provision of this Agreement is inconsistent with a mandatory consumer protection rule applicable to the Seller in their country of residence within the European Union, that mandatory rule shall prevail to the extent of the inconsistency.

16.8. Data Protection. Scent.to processes the Seller's personal data in accordance with applicable data protection legislation, including Regulation (EU) 2016/679 (GDPR) and the laws of the Republic of Latvia. Further information regarding the processing of the Seller's personal data, including the Seller's rights in respect thereof, is set out in Scent.to's Privacy Policy, which forms part of the Platform Policies.

16.9. Platform Reporting Obligations. The Seller acknowledges that Scent.to is subject to reporting obligations under applicable EU law, which may require Scent.to to report information regarding the Seller's transaction activity on the Platform to relevant tax authorities. The Seller undertakes to provide accurate and complete information to Scent.to as reasonably required to fulfil such obligations.

Seller Summary

SELLER SUMMARY

Key things to know before you start selling on Scent.to

This is a plain-language summary of your Seller Agreement. It is not a substitute for the full Agreement, which you will be asked to accept below. If there is any conflict between this Summary and the full Agreement, the full Agreement prevails.

What Scent.to does — and does not do

Scent.to is a marketplace. We provide the infrastructure, logistics and payment services that make it easier for you to sell your pre-owned fragrances to buyers across Europe.

We are not the buyer of your products. When a sale happens, the contract is between you and the buyer — not between you and Scent.to. We facilitate the transaction; we are not a party to it.

What you are confirming when you list a product

By creating a listing, you confirm that:

  • the fragrance belongs to you and you have the right to sell it
  • the product is genuine — it has not been counterfeited, refilled, decanted or altered in any way
  • your description is accurate — fill level, condition, packaging and any defects are honestly represented
  • the product has been stored properly and is safe to use
  • you are selling as a private individual, not as a business

These confirmations are the foundation of your agreement with Scent.to. If any of them turn out to be inaccurate, Scent.to may withhold your payout and seek to recover any resulting losses.

How money works

When a buyer pays, the funds are held securely by our payment provider — not by Scent.to. Once the transaction is successfully completed and the buyer's inspection period has passed without a dispute, the funds are released to your bank account.

What you receive is the listing price minus Scent.to's commission. The commission rate depends on your listing price and is shown clearly before you confirm each listing. No fees are charged if your item does not sell.

Optional services — such as priority listing or expedited payout — are available at additional cost and are charged only upon a completed sale.

What happens if something goes wrong

If a buyer raises a dispute: Scent.to will notify you and give you the opportunity to respond. Disputes are assessed on the evidence available. If a dispute is found to be valid, the cost of the refund may be deducted from your payout. If it is found to be unsubstantiated, your payout is released in full.

If a product is found to be counterfeit or unsafe: Your payout will be withheld. Scent.to may retain the product, cooperate with authorities and seek to recover its losses from you. There is no cap on recovery in cases of fraud or deliberate misrepresentation.

If there is a discrepancy identified before dispatch: Our verification team will contact you before the product is sent to the buyer. In most cases, discrepancies are resolved at this stage.

Your rights

You can challenge any decision Scent.to makes through our internal complaint process within 14 days of notification. You can also seek assistance from the consumer dispute resolution body in your country.

You can close your account and terminate your agreement with Scent.to at any time. Any transactions already in progress will be completed before termination takes effect.

Your rights as a consumer under EU law and the laws of your country of residence are not affected by anything in this Agreement.
